These terms govern use of the English-language Duppo online service together with the applicable order information and mandatory law.
2. What Duppo Provides
Duppo is online software supplied as Software-as-a-Service. It helps users manage customer and supplier accounts, cash records and other functions included in their selected plan. It is not a physical product and no goods are sent by courier or post. Features, usage limits, duration and price are determined by the actual plan and order shown before purchase.
Duppo is a record-management tool. It does not replace professional accounting, tax or legal advice or the user's own mandatory filing and record-keeping obligations. No banking service or entitlement to use a module outside the selected plan is created by these terms.
3. Accounts and Authorised Users
Provide accurate registration and billing information, keep contact details current, and protect sign-in credentials. Use only accounts and business records that you are authorised to access. The business account holder is responsible for choosing the staff and portal permissions appropriate to its business and reviewing those permissions when a person's role changes.
Report suspected misuse promptly to info@codezy.de. Do not share another person's credentials or attempt to bypass account, subscription or document-access controls.
4. Free and Paid Plans
A free plan includes only the functions assigned to that plan. A paid plan provides the additional functions, duration and limits actually described at checkout. A monthly or annual billing selection describes the purchased period. It does not by itself authorise automatic card storage, recurring charges or automatic renewal.
Applicable price, currency, taxes and total payment are displayed before a paid order. A later change to a published price does not retrospectively change an already agreed transaction. Additional charges require the disclosure and consent required by law.
5. Orders, Payments and Digital Supply
A paid contract is formed when the provider accepts the order as communicated in the order or activation confirmation. An unsuccessful payment attempt or an unverified payment result is not a successful purchase. Card payments are processed through PayTR where offered.
After successful payment is confirmed, the selected plan is assigned to the relevant account and its features are activated electronically. There is no shipping charge. If payment appears successful but activation is missing, check the recorded order status and contact support before starting a duplicate payment.
6. Duration, Renewal and Ordinary Cancellation
The initial period is the period shown in the order. Automatic renewal applies only if it is actually offered, clearly explained before purchase and expressly agreed. The renewal interval, charge or method of calculation, and cancellation arrangements must be disclosed before that agreement.
Future renewal may be stopped using an available account cancellation control or by a clear request to info@codezy.de. Unless otherwise agreed or a statutory remedy applies, the existing paid period remains available until its end. No further renewal charge is due for a period after cancellation takes effect. Mandatory rules concerning duration, notice, renewal and termination take precedence.
7. Consumer Cancellation and Refund Rights
Ordinary renewal cancellation is different from exercising a statutory right to cancel a distance contract. Applicable consumer distance service contracts generally have a 14-day cancellation period. Early service provision requires the express request required by law. Activation alone is not full performance of a continuing subscription and does not automatically remove that right.
A proportionate amount for service already supplied may be payable only when the statutory conditions, including the necessary information and express request, are satisfied. Loss of cancellation rights after full performance requires the legally required request and acknowledgement. The separate Cancellation Policy, Refund Policy and Distance Contract and Consumer Information explain these matters.
Duplicate charges, incorrect charges and overpayments are corrected. Statutory remedies for non-supply or defective service remain available. These terms contain no absolute no-refund rule.
8. Business Content and Personal Data
You retain the rights you hold in the records, documents and other content you enter. You must have authority and a lawful basis to collect, upload, use and share personal data or third-party content. Do not upload unnecessary sensitive information or unlawfully obtained documents.
The provider may process content only to the extent required to operate, maintain, secure and support the service and fulfil applicable legal duties, in accordance with the relevant data-protection arrangements. Uploading business content does not transfer ownership of that content to the provider. Sharing a file with a portal user makes it available to that selected recipient according to the configured permissions.
9. Acceptable Use
Do not use Duppo to:
• Access or alter another person's records without authority.
• Upload malicious files or content that infringes another person's rights.
• Attempt to defeat security, payment, plan or account restrictions.
• Disrupt the service, abuse automated requests or impersonate another person.
• Store or distribute unlawful content.
A proportionate restriction may be applied where needed to address a genuine security threat, unlawful use or a material breach. The nature, urgency and impact of the issue must be considered. Such a restriction does not remove statutory rights or justify retaining money unlawfully.
10. Intellectual Property
Duppo's software, interface, branding and other protected materials remain subject to the rights of their respective owners. An account or plan grants a right to use the service within its permitted scope and period; it does not transfer ownership of the software. Restrictions do not override permissions or rights granted by mandatory law.
11. Maintenance and Technical Issues
Maintenance, updates and technical failures may temporarily affect availability. Keep your own required business records and use the export or document functions that are available to your account. The existence of a backup feature does not replace your legal record-keeping duties.
This description is not an exclusion of responsibility for a failure to supply the agreed service and is not a promise of a separate uninterrupted-availability service level. Applicable consumer rights, including reasonable care and skill and remedies available by law, remain unaffected.
12. Ending Access and Records
A request to cancel a subscription does not automatically erase the account or every business record. Account closure, deletion and retention must be handled in accordance with the request, the business's authority and applicable legal duties. Certain payment, tax, dispute and security records may need to be retained as explained in the Privacy Policy.
13. Liability, Complaints and Legal Rights
Nothing in these terms excludes liability that cannot legally be excluded, including mandatory consumer rights or liability for fraud. No term removes a competent court's jurisdiction or deprives a consumer of protections that apply under mandatory law because of the consumer's habitual residence.
Send questions and complaints to info@codezy.de or the postal address above. Providing a support channel does not make using it a precondition for a statutory complaint, cancellation or legal remedy.
14. Changes and Priority
The version and order information applicable to a transaction remain relevant to that transaction. Material changes to an ongoing contract require the notice, justification and agreement required by applicable law. Publishing new wording does not itself authorise a new charge or remove an existing right.
The Privacy Policy and Cookie Policy explain data processing and browser storage. Their display or acknowledgement is not blanket consent to optional analytics, marketing or early service provision. Mandatory law takes priority over any inconsistent interpretation of these terms.
